1. Acceptance of Terms
Welcome to JobShed. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ozzie Geeks IT PTY LTD ("Company," "we," "us," or "our").
By creating an account, accessing, or using our software-as-a-service platform, mobile application, and related services (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.
2. Account Registration and Security
- Eligibility: You must be at least 18 years old and capable of forming a binding contract under Australian law to use the Service. By registering, you warrant that you are a sole trader or business entity operating in Australia.
- Account Information: You agree to provide accurate, current, and complete information during registration and to keep this information up to date.
- Security: You are solely responsible for maintaining the confidentiality of your account credentials. You accept full responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
3. Subscription and Payment Terms
- Subscription Plans: The Service is offered on a subscription basis (e.g., monthly or annually). Current pricing ranges from $19 to $39 AUD per month, subject to change with notice.
- Free Trial: We may offer a 14-day free trial. If you do not cancel before the trial period ends, you will automatically be charged the applicable subscription fee for the selected plan.
- Billing: Fees are billed in advance. You authorize us to charge your provided payment method for all applicable fees.
- Cancellation: You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of the current billing cycle. No refunds are provided for partial subscription periods.
- Non-Payment: Failure to pay subscription fees may result in the immediate suspension or termination of your access to the Service.
4. Use of Service (Acceptable Use Policy)
You agree to use the Service only for lawful business purposes. You must not:
- Use the Service to violate any applicable local, state, federal, or international law.
- Attempt to reverse engineer, decompile, or disassemble any portion of the Service.
- Share your account credentials with third parties.
- Upload or transmit viruses, malware, or any harmful code.
- Harass, abuse, or harm another person or entity through the Service.
5. Intellectual Property Rights
- Our IP: All rights, title, and interest in and to the Service (including software, design, text, graphics, and logos) are and will remain the exclusive property of the Company and its licensors.
- Your Data: You retain ownership of the data you upload to the Service ("User Data"). You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display User Data solely for the purpose of providing and improving the Service.
- Feedback: Any feedback or suggestions you provide regarding the Service shall be deemed non-confidential, and we shall be free to use such feedback without any obligation or compensation to you.
6. Specific Disclaimers: AI and Financial Tools
IMPORTANT NOTICE REGARDING AI & SAFETY
AI SWMS Generation: The Safe Work Method Statements (SWMS) generated by our AI tools are provided as a starting point only. They are generated based on generic data and may not cover all specific site hazards or legal requirements applicable to your specific job. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, EDITING, AND APPROVING ANY SWMS BEFORE USE. We do not guarantee that AI-generated SWMS will meet Work Health and Safety (WHS) compliance standards in your jurisdiction. Reliance on these documents is at your own risk.
- Receipt Scanning & Calculations: While we strive for accuracy, our optical character recognition (OCR) and financial calculation tools may contain errors. You are responsible for verifying all extracted data.
- Tax Compliance: We are not a tax advisory service. You are solely responsible for your own tax compliance, including the accuracy of your financial records, BAS lodgments, and tax returns. The Service is a record-keeping tool, not a substitute for a qualified accountant or tax agent.
7. Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED OTHERWISE AND TO THE EXTENT PERMITTED BY LAW:
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results that may be obtained from the use of the Service will be accurate or reliable; or (d) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations.
8. Limitation of Liability
Australian Consumer Law (ACL): Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that under the Australian Consumer Law cannot be excluded, restricted, or modified.
Limitation: To the maximum extent permitted by law, the Company (including its directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities;
- Loss of data or goodwill;
- Service interruptions or system failures;
- Cost of substitute services;
arising out of or in connection with your use of or inability to use the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory.
Cap on Liability: To the extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
9. Indemnification
You agree to defend, indemnify, and hold harmless Ozzie Geeks IT PTY LTD ("Company") and its shareholders, directors, officers, employees, agents, affiliates, licensors, and service providers, and its and their respective successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms;
- Your use of the Service, including any User Data or content you provide;
- Your violation of any rights of a third party;
- Your violation of any applicable laws, rules, or regulations (including WHS and tax laws).
10. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions.
You expressly agree to submit to the exclusive jurisdiction of the courts of Queensland and the federal courts of Australia sitting in Queensland for the resolution of any disputes arising out of or relating to these Terms or the Service.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.
